1. Agreement to these terms
These Terms of Use (“Terms”) are a legal agreement between you and 3 Paths Marketing concerning PathRank, including its website, application, accounts, reports, integrations, and related software services (collectively, the “Service”). By creating an account, purchasing a subscription, connecting a third-party account, or using the Service, you agree to these Terms and our Privacy Policy.
If you use PathRank for a company, client, or other organization, you represent that you have authority to accept these Terms and act on its behalf. “You” includes that organization.
2. Eligibility and business use
You must be at least 18 years old and legally able to enter into a binding agreement. PathRank is intended for legitimate business and professional use. You may not use the Service where doing so would violate applicable law or another binding obligation.
3. Accounts and workspaces
You must provide accurate information, keep it current, protect account credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account and for assigning appropriate workspace roles.
Workspace owners and administrators may invite or authorize other users. Those users may access workspace data according to their roles. For managed SEO plans, you authorize designated 3 Paths Marketing personnel to access and act within the applicable workspace to perform the requested services.
4. The PathRank service
PathRank may provide website audits, SEO recommendations, keyword and ranking records, competitor tracking, citation management, reporting, billing tools, third-party integrations, and related features. Features may change as the Service develops, and some features may be described as beta, preview, sample, or dependent on third-party approval.
SEO scores, rankings, traffic estimates, listing statuses, recommendations, and reports are informational tools. Search engines and directory providers control their own systems. We do not guarantee rankings, traffic, leads, revenue, indexing, listing approval, or any specific business result.
5. Self-guided and managed services
A self-guided subscription provides access to available software features for your own use. A managed plan allows 3 Paths Marketing to provide agreed SEO or listing-management work on your behalf.
Managed deliverables, timing, responsibilities, advertising budgets, content approvals, and other agency services may be governed by a proposal, statement of work, service agreement, or written order. If that document conflicts with these Terms regarding the managed work, the more specific written agreement controls for that work.
6. Your authorization and responsibilities
You authorize PathRank to process the websites, domains, business listings, data, and accounts you submit or connect for the purpose of providing the Service. You represent that you own them or have sufficient permission from the owner.
You are responsible for:
- The accuracy, legality, and completeness of information you provide.
- Obtaining client, employee, account-owner, and other necessary permissions.
- Reviewing proposed edits and recommendations before implementation.
- Maintaining appropriate backups of important content and records.
- Complying with search-engine, directory, advertising, and third-party terms.
You may not direct PathRank to scan, access, alter, or manage systems or accounts without authorization.
7. Connected services
You may choose to connect services such as Google Business Profile or Google Search Console. By doing so, you authorize PathRank to access and use the permitted data for the features you request. You can disconnect each integration through PathRank or revoke access with the provider.
Your use of Google services remains subject to Google’s applicable terms and policies. PathRank’s handling of Google user data is described in our Privacy Policy. Third-party services may change, restrict, suspend, or discontinue their APIs or your access. We are not responsible for third-party services or for interruptions outside our reasonable control.
8. Subscriptions, payments, and cancellation
Starter and Growth offer one 15-day trial per account and workspace, with no card required and no automatic charge. Trial allowances are shown on the pricing page. After the trial ends, choose a paid subscription to continue automation. Existing published files and installed schema remain in place. Agency has no free trial.
Paid plans are billed in advance at the price and interval shown during checkout or in an applicable written order. Subscriptions automatically renew for successive billing periods until canceled. You authorize Stripe and 3 Paths Marketing to charge the payment method associated with your account for recurring fees, applicable taxes, and authorized purchases.
You may cancel through the billing portal or by contacting us. Unless a written agreement states otherwise, cancellation takes effect at the end of the current paid billing period. Fees already charged are nonrefundable except where required by law or expressly stated in writing. We may change pricing or plan features by providing reasonable advance notice, with changes applying no earlier than the next renewal permitted by that notice.
Failure to pay may result in suspension or termination. You remain responsible for amounts incurred before cancellation or termination.
9. Acceptable use
You may not:
- Use the Service unlawfully, fraudulently, deceptively, or to violate another person’s rights.
- Access accounts, listings, websites, or data without permission.
- Probe, disrupt, overload, bypass, or interfere with the Service or its security.
- Upload malicious code or use automated means that place unreasonable load on the Service.
- Reverse engineer or attempt to extract nonpublic source code except where law expressly permits it.
- Resell, sublicense, copy, or commercially exploit the Service except under a written reseller or agency agreement with us.
- Use Service output to build a competing dataset or product through systematic extraction.
- Misrepresent affiliation with 3 Paths Marketing, PathRank, Google, Microsoft, or another provider.
10. Your content and data
You retain your ownership rights in information and materials you submit to PathRank (“Customer Content”). You grant us a limited, nonexclusive license to host, process, reproduce, display, transmit, and modify Customer Content only as reasonably necessary to provide, secure, support, and improve the user-facing Service and to meet legal obligations.
You are responsible for Customer Content and for maintaining copies you require. We may remove or restrict content that violates these Terms or law.
11. PathRank intellectual property
The Service, software, design, branding, documentation, report templates, and related materials are owned by 3 Paths Marketing or its licensors and are protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, nonexclusive, nontransferable right to use PathRank for your internal business purposes during the subscription term.
You may use reports generated for your workspace for internal operations and authorized client communications. PathRank and 3 Paths Marketing names, logos, and marks may not be used without written permission.
12. Feedback
If you voluntarily provide ideas or suggestions about PathRank, you grant us permission to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
13. Confidentiality
Each party may receive nonpublic business, technical, or account information from the other. Each party will use reasonable care to protect that information and use it only to perform or receive the Service, except when disclosure is authorized or legally required. This section does not apply to information that is public through no breach, independently developed, or lawfully received without a duty of confidentiality.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, create a security or legal risk, misuse connected services, or if continued operation becomes unlawful or impracticable. When reasonable, we will provide notice and an opportunity to cure.
After termination, your license ends and access may be disabled. You should export needed reports and records before cancellation. We may delete account data according to our retention practices, subject to legal obligations. Provisions that by their nature should survive—such as payment obligations, ownership, disclaimers, liability limitations, indemnity, and dispute terms—will survive.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” 3 PATHS MARKETING DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ALL DATA OR THIRD-PARTY RESULTS WILL BE ACCURATE OR AVAILABLE.
PathRank does not provide legal, tax, financial, or accounting advice. SEO recommendations require business judgment and may not be appropriate in every circumstance.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER 3 PATHS MARKETING NOR ITS OWNERS, PERSONNEL, CONTRACTORS, OR LICENSORS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; OR THIRD-PARTY PLATFORM ACTIONS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE FEES YOU PAID TO 3 PATHS MARKETING FOR PATHRANK DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where liability cannot legally be limited.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless 3 Paths Marketing and its owners, personnel, contractors, and licensors from third-party claims, damages, liabilities, and reasonable costs arising from your Customer Content, unauthorized or unlawful use, violation of these Terms, or infringement of another party’s rights. We will provide reasonable notice of a covered claim and allow you to control the defense, subject to our right to participate with counsel at our expense.
18. Governing law and disputes
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles. Before filing a formal claim, each party agrees to give the other written notice and attempt in good faith for at least 30 days to resolve the dispute informally.
Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in the state or federal courts serving the Alabama county where 3 Paths Marketing maintains its principal place of business, and each party consents to those courts’ jurisdiction and venue.
19. General terms
These Terms, the Privacy Policy, checkout terms, and any applicable written service agreement form the agreement concerning the Service. If part of these Terms is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a business reorganization or transfer. Neither party is liable for delay caused by events beyond its reasonable control.
20. Changes and contact
We may update these Terms as PathRank changes. We will post the revised Terms and update the effective date. Material changes will apply prospectively after reasonable notice. Continuing to use the Service after updated Terms take effect constitutes acceptance.
